Terms of service

The agreement between you and AIUI Inc. What you can do here, what we owe you, what we don’t, and what it costs. Written to be read.

01The agreement

agents.host is operated by AIUI Inc. (“we”, “us”), a company based in Quebec, Canada. These terms are the agreement between us and you — the person or the business using agents.host. Using the service means you accept them. If you do not, do not use it.

If you are agreeing on behalf of a company, you are telling us you have the authority to bind it, and “you” means that company.

Our privacy policy explains what we do with personal information. It is part of this agreement.

02Your account

You need an account to build assistants. To have one, you must be at least 14 years old and able to enter into a contract.

Keep your sign-in secure. Everything done through your account is treated as done by you. Tell us at support@agents.host as soon as you think someone else has got in.

You are responsible for the people you invite into your workspace and for what they do with it. Give someone the owner role and they can change billing, connections and every assistant.

03Your content stays yours

Your instructions, your conversations, your uploaded files and your assistants’ configuration are yours. We claim no ownership of any of it.

To run the service we need permission to handle it: you give us a licence to host, copy, transmit and process your content, and to pass it to the providers listed in the privacy policy, strictly for the purpose of operating agents.host for you. That licence ends when you delete the content or close your account. We do not use your content to train models, and we do not use it to build anything of our own.

You are telling us you have the right to upload what you upload, and the right to let an assistant read it.

04What you must not do

Do not use agents.host to:

  • Break the law, or help someone else break it.
  • Harass, threaten, defraud or impersonate anyone.
  • Build or distribute malware, or attack anyone’s systems.
  • Handle information you are not allowed to put on third-party infrastructure.
  • Generate sexual content involving children, or content that promotes violence against people.
  • Tell people they are speaking with a human when they are speaking with an assistant, anywhere disclosure is required.
  • Make decisions about people — hiring, credit, housing, insurance, benefits — using an assistant’s output without a person reviewing it.
  • Get around usage limits, rate limits, access controls or billing.
  • Resell raw model capacity, or use the service mainly as a pass-through to the models behind it.
  • Scrape or overload the service, or take it apart to build a competing one.

We may look at account activity to enforce this section. We do not read your conversations for any other reason.

05Assistants you put in front of other people

You choose the instructions, the tools, the connections and who can reach an assistant. That makes it yours, and it makes you responsible for it: for what it says, for what it does with the access you gave it, and for the people who talk to it.

If you put an assistant in front of the public — a chat box on your site, a public email address — you also take on:

  • Telling those people they are talking to an assistant.
  • Having your own privacy policy that covers what it collects, and getting whatever consent the law requires.
  • Answering the requests those people make about their own information. We hold that data for you, and we will help you get at it.

For conversations your visitors and customers have with your assistants, you are the one responsible for the personal information in them, and we handle it on your instructions.

06What the assistant says

Answers are generated by a language model. They can be wrong, out of date, or entirely made up, and they can be wrong while sounding certain. Check anything that matters before you act on it, and before you put it in front of a customer.

Nothing an assistant produces is legal, medical, financial, or other professional advice.

The same question can produce different answers for different people, and answers similar to yours may be produced for someone else. We make no claim that output is unique to you, and we do not promise any particular output at all.

07Connections and other people’s services

When you connect Google, Microsoft, an MCP server or any other service, your use of that service is governed by its own terms, not ours. We are not responsible for what it does, whether it stays available, or what it charges you.

You must have the right to connect the account you connect, and to let an assistant act through it.

08Domains we register for you

You can ask us to register a domain name for your workspace, so that your assistants send and receive email from it and your portal answers on it. When you do, we register it through our own registrar account: the registrant of record is us, and the domain is held on our account for your workspace. Under these terms it is yours to use, and we will not use it for anything else, point it anywhere else, or let another customer have it.

What that means in practice:

Cost
The first year goes on your next invoice, and each yearly renewal goes on the invoice for the period it falls in. The price is the registrar’s plus any markup your workspace’s contract sets, and it is the price shown to you before you register.
Transfer out
At any time, you can ask us to transfer the domain to a registrar account of your own. We start the transfer within 30 days of your request and charge nothing for it beyond what the registrar itself asks. Once it is in your account, it is yours outright.
If your contract ends
We keep the domain for 90 days after your contract ends so you can ask for the transfer. If you have not, we stop renewing it and let it expire; we may also release it earlier if you tell us you do not want it.
Names
We register only names the registrar will sell us for this purpose, and we may refuse a name that infringes someone’s rights or that we would be embarrassed to hold. You are telling us you have the right to use the name you pick.
DNS
While we hold the domain, we manage its DNS so mail from it is signed and answered. We change nothing else about it without asking you.

A domain you already own and connect yourself is not covered by this section: it stays with you, and you publish the records we show you.

09What it costs

New workspaces start with a small amount of free credit. When it runs out, assistants stop answering until there is a billing arrangement in place.

After that:

Usage pricing
You pay per token your assistants read and write, at the rate shown on the assistant’s page and on the usage page. That rate includes our markup over what the model costs — it is the whole price, not a base to add to.
Your terms
Base fees, included quantities, overage rates and payment terms are the ones set on your workspace’s contract and shown under Settings → Billing. A contract may instead price usage at what the providers charge us plus a markup it sets; the usage page then shows that price, and it replaces the per-token rate.
Payment
Stripe processes payment. Invoices are in US dollars. Taxes are on top, where they apply.
Late payment
If an invoice goes unpaid, we may suspend the workspace after telling you. Assistants stop answering; nothing is deleted.
Refunds
Usage already consumed is not refundable. If we billed you in error, tell us and we will fix it.

We can change prices. Existing workspaces get at least 30 days’ notice by email before a change applies to them.

10Availability and changes

We try to keep agents.host running and we do not promise it always will. There is no uptime guarantee unless you have a written agreement with us that says otherwise.

The service changes. We add things, we improve things, and occasionally we remove something. If we remove something you depend on, we will give you at least 30 days’ notice and, where we can, a way to get your data out.

Anything marked “coming soon” is exactly that. It is not part of what you are paying for and it may never ship.

11Ending it

You can stop at any time: delete your assistants and stop using the service. Write to support@agents.host to close the account entirely.

We may suspend or close an account that breaches these terms, that has not paid, or that exposes us or other people to real legal or security risk. We will tell you first and give you a chance to fix it, unless the risk is serious enough that we have to act immediately.

When an account closes, you have 30 days to ask for an export of your content. After that we delete it on the schedule in the privacy policy. Fees already owed remain owed.

12Who owns what

We own agents.host — the software, the design, the name and the marks. These terms give you permission to use the service, and nothing more.

You own your content, as set out above.

If you send us an idea or a suggestion, we may use it to improve the product, with no obligation to you and no claim by you. Do not send us anything you consider confidential.

13No promises beyond these

Except for what these terms say plainly, agents.host is provided as it is, with no warranty of any kind — no promise that it will be uninterrupted, error-free, secure, or fit for what you have in mind.

Some warranties cannot be excluded under Quebec consumer law. Nothing here takes those away from you.

14The limit on what we owe

We are not liable for indirect, incidental, special or consequential damages, for lost profits, lost revenue, lost data, or for anything an assistant said or did — even if we were told such a loss was possible.

For everything else, our total liability to you is capped at the greater of what you paid us in the 12 months before the claim, and CAD $100.

None of this limits liability for our own gross fault or intentional fault, for bodily injury, or for anything else the law does not let us limit.

15If someone comes after us because of you

If a third party makes a claim against us because of your content, your assistants, or your use of the service in breach of these terms, you will defend us and cover what it costs — judgments, settlements and reasonable legal fees.

16Governing law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply in it, without regard to conflict of laws rules. The courts of the judicial district of Montreal, Quebec, have exclusive jurisdiction, and both of us submit to them.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If a court finds part of these terms unenforceable, the rest stays in force.

17Language

These terms are published in French and in English. If the two versions differ, the French version prevails.

18Changes to these terms

We update these terms from time to time and change the date at the top of the page. If a change materially affects your rights, we will email account holders at least 30 days before it takes effect. Using the service after that is how you accept the new version; if you do not accept it, close your account.
